Berkshire has two classes of commonstock designated Class A Common Stock and Class B Common Stock. Each share ofClass A Common Stock is convertible, at the option of the holder, into 30shares of Class B Common Stock. Shares of Class B Common Stock are notconvertible into shares of Class A Common Stock.

Shareholders of record wishing to convertClass A Common Stock into Class B Common Stock may contact Wells Fargo inwriting. Along with the underlyingstock certificate, shareholders should provide Wells Fargo with specificwritten instructions regarding the number of shares to be converted and themanner in which the Class B shares are to be registered. We recommend that youuse certified or registered mail when delivering the stock certificates andwritten instructions.
If ClassA shares are held in "street name,” shareholders wishing to convert all ora portion of their holding should contact their broker or bank nominee. It willbe necessary for the nominee to make the request for conversion.

Berkshire had approximately 8,500record holders of its Class A Common Stock and 14,000 record holders of itsClass B Common Stock at March 6, 2002.Record owners included nominees holding at least 400,000 shares of ClassA Common Stock and 5,500,000 shares of Class B Common Stock on behalf ofbeneficial-but-not-of-record owners.
